Welcome to Jiangyin Spark Electronic Technology Co., Ltd. ("Spark", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services. By placing an order, submitting an inquiry, or otherwise engaging with our business, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Scope of Services
Spark manufactures and supplies electromagnetic products including, but not limited to: Split Core Current Transformers (SCT), Flexible Rogowski Coils, Split Core Current Sensors, Split Core Current Transducers, Solid Core Current Transformers, PCB and wire lead current transformers, and mini voltage transformers.
Our services are intended exclusively for business customers (B2B), including manufacturers, system integrators, OEM/ODM partners, and procurement professionals. We do not sell directly to end consumers.
3. Orders and Purchase Agreements
Order Acceptance: All orders are subject to written confirmation by Spark. A purchase order submitted by the Customer does not constitute a binding agreement until Spark issues a formal Order Confirmation or Pro Forma Invoice.
Specifications: Customers are responsible for providing accurate and complete product specifications. Spark is not liable for products manufactured in accordance with incorrect specifications provided by the Customer.
Minimum Order Quantity (MOQ): MOQ requirements apply and will be specified in the quotation. Custom and OEM/ODM orders may have higher MOQ requirements.
Order Changes: Modifications to confirmed orders must be requested in writing and are subject to Spark's approval. Changes may affect pricing and delivery schedules.
4. Pricing and Payment
Quotations: All prices are quoted in USD unless otherwise agreed. Quotations are valid for 30 days from the date of issuance and are subject to change based on raw material costs and market conditions.
Payment Terms: Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise negotiated in writing. Wire transfer (T/T) is the standard payment method.
Late Payment: Spark reserves the right to suspend production or shipment for overdue payments. Interest on overdue invoices may be charged at the rate of 1.5% per month or the maximum rate permitted by applicable law.
Taxes and Duties: Prices do not include import duties, taxes, or customs fees. The Customer is responsible for all such charges in their respective jurisdiction.
5. Delivery and Shipping
Lead Time: Standard production lead time is 7-10 business days for orders of up to 10,000 pieces. Larger orders or custom designs may require additional lead time as specified in the order confirmation.
Shipping Terms: Default shipping terms are EXW (Ex Works) Jiangyin unless otherwise agreed. FOB Shanghai or other Incoterms may be negotiated. Risk of loss passes to the Customer upon handover to the carrier.
Delivery Delays: Spark will make reasonable efforts to meet agreed delivery dates. We are not liable for delays caused by force majeure events, carrier issues, customs clearance, or circumstances beyond our reasonable control.
Inspection: Customers should inspect goods upon receipt. Any visible damage or shortage must be reported to Spark in writing within 5 business days of delivery.
6. Product Quality and Certifications
All Spark products are manufactured in compliance with applicable international standards. Our quality management systems and certifications include:
Certification documentation is available upon request. Spark does not guarantee that products meet certification requirements of jurisdictions not covered by the certifications listed above. Customers are responsible for verifying compliance with local regulations.
7. Returns, Defects, and Warranty
Warranty Period: Spark provides a limited warranty of 12 months from the date of shipment against defects in materials and workmanship under normal use conditions.
Warranty Claims: Defective products must be reported in writing within the warranty period with supporting evidence (photos, test reports). Spark will, at its discretion, repair, replace, or issue credit for confirmed defective items.
Exclusions: The warranty does not cover damage resulting from improper installation, misuse, unauthorized modification, electrical surges, or normal wear and tear.
Returns: No goods may be returned without prior written authorization (RMA) from Spark. Unauthorized returns will not be accepted. Return shipping costs are the Customer's responsibility unless the return is due to a confirmed manufacturing defect.
8. OEM / ODM and Custom Orders
Design Ownership: For OEM/ODM projects where Spark develops designs based on Customer specifications, Spark retains the underlying manufacturing know-how. Customer-provided designs remain the intellectual property of the Customer.
Tooling and Molds: Tooling costs, if applicable, will be specified in the quotation. Tooling remains the property of Spark unless explicitly transferred in writing. Tooling fees are non-refundable once production has commenced.
Samples: Pre-production samples are available upon request and may incur sample fees. Customers must approve samples in writing before mass production commences.
Confidentiality: Both parties agree to keep confidential all proprietary technical and business information exchanged during OEM/ODM cooperation. This obligation survives the termination of any business relationship.
9. Intellectual Property
Spark holds registered invention patents and utility model patents for its products. All trademarks, logos, product designs, technical documentation, and website content are the exclusive property of Jiangyin Spark Electronic Technology Co., Ltd.
Customers may not reproduce, distribute, or use Spark's intellectual property for any purpose other than the intended use of purchased products without prior written consent. Any unauthorized use may result in legal action.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Spark's total liability to the Customer for any claim arising from or related to these Terms or any order shall not exceed the total amount paid by the Customer for the specific products giving rise to the claim.
Spark shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.
Spark does not warrant that products are suitable for any specific application. Customers are solely responsible for determining the fitness of products for their intended use and for compliance with applicable safety and regulatory requirements.
11. Force Majeure
Spark shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, government actions, labor disputes, power outages, raw material shortages, or transportation disruptions. Spark will notify the Customer promptly of any such event and will make reasonable efforts to resume performance as soon as practicable.
12. Export Compliance
Customers are responsible for complying with all applicable export control laws and regulations in their jurisdiction. Spark products may be subject to export control regulations in China and other countries. By placing an order, the Customer represents and warrants that they will not use or re-export Spark products in violation of any applicable laws.
13. Privacy and Data
Spark collects and processes Customer business information (including company name, contact details, and order information) solely for the purpose of fulfilling orders, providing customer support, and improving our services. We do not sell or share Customer data with third parties except as required to fulfill orders (e.g., logistics providers) or as required by law. By engaging with Spark, you consent to this data processing.
14. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
Dispute Resolution: In the event of any dispute arising from or relating to these Terms or any order, both parties shall first attempt to resolve the matter through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to the competent court in Jiangyin City, Jiangsu Province, China, or resolved by arbitration as mutually agreed.
Language: In the event of any conflict between the English version and any translated version of these Terms, the English version shall prevail.
15. Amendments
Spark reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website or notification to registered customers. Continued use of our services or placement of orders after such notification constitutes acceptance of the revised Terms. We encourage Customers to review these Terms periodically.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any signed purchase agreement, order confirmation, or non-disclosure agreement, constitute the entire agreement between Spark and the Customer with respect to the subject matter herein and supersede all prior negotiations, representations, and understandings.
